CLLS Company Law Committee response to consultation on implementing a UK corporate re-domiciliation regime - June 2026

The CLLS and Law Society have responded to the Government’s consultation on implementing a UK corporate re-domiciliation regime.

The views set out in this response have been prepared by a Joint Working Group (JWG or working group) of the Company Law Committees of the City of London Law Society (CLLS) and the Law Society of England and Wales (the Law Society), and include input on specialist areas from representatives from the Financial Law, Insolvency Law, Regulatory Law and Tax Law Committees of the CLLS.

The response strongly supports introducing an inward re-domiciliation regime, saying it would make the UK a more attractive jurisdiction by allowing companies to move here while retaining legal identity.

It generally supports the proposed framework, including solvency statements, continuity of legal personality and a clear Companies House process, while calling for practical guidance and predictable timings.

It also urges Government to remain open to a future two-way regime, allowing outward re-domiciliation, and to consider wider reforms such as a UK cross-border merger regime.
